SOCIALLY SOUND STUDIO LIMITED

CLIENT SERVICES AGREEMENT

This Client Services Agreement (the "Agreement") is entered into and becomes eﬀective on the date of membership commencement (the "Eﬀective Date") between Socially Sound Studio Limited (the "Company"), a limited company registered in the United Kingdom, and the undersigned [CLIENT] (the "Client"). The Company and the Client are collectively referred to as the "Parties" and individually as a "Party”.

RECITALS

WHEREAS, the Company has created and owns the rights to Intellectual Property (as defined below) that is shared with the Client as part of the Services (as defined below) oﬀered in the Music Business: UNFILTERED Plus Program (the "Program");

WHEREAS, the Client desires to engage the Company to provide the Services; and

WHEREAS, the Company has agreed to provide the Services as outlined in this Agreement, the Client has agreed to compensate the Company for the Services, and the Parties have agreed to do so in accordance with the terms and conditions in this Agreement.

1. DEFINITIONS AND CONSTRUCTIONS

1.1 Business

“Business” refers to providing the Services, including but not limited to training, tools, techniques, and systems to grow and scale online businesses, as oﬀered under this Agreement and not publicly available or known to the Client before this Agreement.

1.2 Commencement

The Company will commence the Services and the Client will commence their obligations on the Eﬀective Date or as otherwise agreed in writing.

1.3 Term

This Agreement remains in eﬀect for 365 calendar days from the Eﬀective Date, expiring at 12:01 a.m. UTC on the 366th day. The following sections survive the term: Sections 1.4–1.6, Section 2.2, Articles 4–7.

1.4 Disclosure

The Client acknowledges that results depend on individual eﬀort, background, education, and experience. No guarantees of results are made. Testimonials are not indicative of typical results. The Company and its aﬃliates do not oﬀer legal, financial, or tax advice and are not responsible for Client's results or actions.

1.5 Confidential Information

“Confidential Information” or "CI" includes all proprietary business information shared with the Client during the Program, including but not limited to product details, techniques, systems, pricing, documents, and communications.

1.6 Intellectual Property

“Intellectual Property” includes but is not limited to all proprietary systems and materials developed by the Company including templates, courses, frameworks, and other business resources. All such content remains the property of the Company.

2. SCOPE OF SERVICES

2.1 Services

Only the Client is granted access to:

Weekly or Bi-Weekly UNFILTERED Plus Community call with all members from 19:30 BST on Tuesday (schedule posted inside Trackstack Studio, recordings provided)
Up to one 45 minute call on Zoom/Google Meet per week from the day you join for 12 months (recordings provided on request)
Feedback provided through Instagram, WhatsApp or email on all social media content
Q&A’s both individually and within a group setting every month for 12 months
Marketing strategies and frameworks provided (resources provided in Trackstack Studio)
Monthly goal setting exercises

2.2 Restrictions

The Services are for the Client’s personal use. The client may not share, resell or grant third party access to the services.

3. RELATIONSHIP

This Agreement does not create an employment, partnership, or joint venture relationship. The Client is not authorized to represent or bind the Company.

4. PAYMENT

4.1 Payments

The client agrees to pay a total one-time payment of £1995.

A 12-Month Payment Plan is available, consisting of Twelve (12) equal monthly payments of £166.25 per month

Client must select and commit to one payment plan upon signing. All payments are non-refundable and must be completed according to the selected schedule

4.2 Chargeback/Refund Policy

The Company does not oﬀer refunds and may take legal action in the event of a chargeback, including a monthly finance charge and recovery of legal fees.

4.3 Charges

The Client agrees that their card will be charged automatically based on the selected payment schedule in Section 4.1.

4.4 Failure to pay

Failure to make scheduled payments may result in suspension of access to the Services until the account is brought curren

5. CONFIDENTIALITY AND NON-DISCLOSURE

5.1 Non-Disclosure

Client shall never disclose or share the Company’s confidential information or Intellectual Property without written consent. No copying, reproducing, or distributing is permitted.

5.2 Ownership

All materials remain the property of the Company. Client has no ownership rights in any confidential Information or Intellectual Property.

6. INDEMNITY

6.1 Disclaimer

To the fullest extent permitted by law, the Company is not liable for consequential damages. Client indemnifies the Company for liability arising from their own actions. The Company will indemnify the Client for its own misconduct.

6.2 General

Client agrees to defend and hold the Company harmless against third-party claims resulting from Client’s actions or breach of Agreement.

6.3 Acknowledgement

The client acknowledges that the company does not guarantee specific results.

7. MISCELLANEOUS PROVISIONS

7.1 Entire Agreement

This Agreement supersedes all prior agreements.

7.2 Governing Law

This Agreement is governed by the laws of the United Kingdom and Great Britain.

7.3 Acknowledgement

Client acknowledges that full participation is required and aﬃrms their positive intent.

7.4 Electronic Record-Keeping

This Agreement may be stored and used as an electronic record.

7.5 Representations

The Company makes no additional guarantees. Client acknowledges individual responsibility for results.

7.6 Choice Of Forum

All disputes will be resolved in the courts of the United Kingdom and Great Britain. Each Party waives objection to jurisdiction and venue.

7.7 Severability

If any provision is held unenforceable, it will be modified to the minimal extent necessary.

7.8 Limitations Of Use

Services are for personal use only. Violations may lead to legal action.

7.9 Assignment

Neither Party may transfer rights without written consent.
